Our team has closed more than 10 cross-border M&A transactions in 2019, which included a series of landmark transactions in relation to the acquisition of target companies incorporated in the British Virgin Islands, Hong Kong and the Mainland China by a public company listed in Hong Kong. Those target companies held certain intellectual properties and licensing rights. Through pre-acquisition corporate restructuring and the “highest-and- best” use of tax arrangements among various tax jurisdictions, we had devised tax-efficient structures which minimized both “transactional” and “operational” tax exposure. Such an M&A strategy involving tax planning is also in conformity to the law in each relevant jurisdiction and in full compliance with the listing rules of the Stock Exchange of Hong Kong Limited (the “Stock Exchange”). She is also a China Appointed Attesting Officer. Eva has vast experiences in cross-border and multi-jurisdictional corporate matters, in particular, mergers and acquisitions, formation of joint venture, private equity transactions and initial public offerings. She is also a group company secretary of several public companies listed in Hong Kong and is conversant with the listing rules of the Stock Exchange.
