Due to the confidentiality of the operation, there is little we can reveal to date. We advised the acquired start-up, from the beginning of its operations in Chile, in its daily operation and in the different investment rounds. As lawyers of the company, during the operation in particular, we looked after the interests of the founders and investors, achieving their legal security, supporting the drafting, review and closing of the transaction documents. The trust given by the founding partners was passed on to the investors, supporting them in the analysis of the tax effects that each one would generate. To date we continue to support the founders in their personal issues. Why is this a good deal for all involved? This operation is a new success story and a great boost in the Venture Capital ecosystem in Chile. First-class teams are complemented, achieving great synergy, which is a great benefit for the parties and for the project. On the other hand, investors can see the results of the investment made. What challenges arose? How did you navigate them? Being an implementation with several investors, everyone had to agree to carry out this operation, respecting their time and processes, while at the same time we had a schedule to fulfil. By making them see, in a simple way, the convenience of the opportunity that was being given, and together with the legal tools that were available, it was possible to align the different investors, giving a quick response, both to them and to their respective advisers, in order to that could they have clarity of all the scope of the process. At the same time, as in any process, there were unforeseen events on the part of some investors, which with the will of all involved, the trust given by the founders and investors, and teamwork, we were able to solve quickly and efficiently. In 2003 Andres Moreno created in Venezuela, his country of origin, an English learning company to serve executives of successful Fortune 500 companies.
